These Terms of Service ("Terms") govern access to and use of the Alxiom platform, website, applications, and related services (collectively referred to as the "Platform").

By accessing or using the Platform, you agree to comply with and be legally bound by these Terms.

If you do not agree to these Terms, you must not use the Platform.

1. INTRODUCTION

Alxiom is a multidisciplinary professional network platform that connects individuals, businesses, institutions, and organizations with independent professionals across multiple sectors including but not limited to:

  • Law
  • Immigration services
  • Investment advisory
  • Engineering and automation
  • Technology services
  • Healthcare consulting
  • Education and training
  • Real estate advisory
  • Financial and tax services
  • International trade consulting

The Platform facilitates professional networking, referrals, collaboration, and knowledge exchange.

2. NATURE OF THE PLATFORM

Alxiom operates solely as a technology platform and professional networking service.

The Platform provides:

  • professional discovery
  • professional listings
  • referral and networking services
  • marketing and visibility for professionals
  • collaboration tools
  • lead generation services
  • digital education and knowledge platforms.

Alxiom does not provide professional services directly.

All professional services offered through the Platform are provided exclusively by independent professionals.

3. INDEPENDENT PROFESSIONAL STATUS

Professionals participating in the Alxiom network acknowledge that they are independent contractors.

Nothing in these Terms creates:

  • an employment relationship
  • a partnership
  • a joint venture
  • an agency relationship

between Alxiom and any professional.

Professionals are solely responsible for the services they provide.

Professionals must not represent themselves as employees, agents, or representatives of Alxiom.

4. PROFESSIONAL RESPONSIBILITY

Each Professional is solely responsible for:

  • professional advice provided to clients
  • services rendered to clients
  • compliance with applicable laws and regulations
  • maintaining required professional licenses
  • maintaining professional insurance where applicable
  • professional conduct and ethical standards.

Alxiom does not supervise, control, or direct the work performed by professionals.

5. NO PROFESSIONAL-CLIENT RELATIONSHIP WITH ALXIOM

Use of the Platform does not create a professional-client relationship between a user and Alxiom.

Any professional relationship formed through the Platform exists solely between the client and the professional engaged.

Examples include but are not limited to:

  • lawyer-client relationships
  • consultant-client relationships
  • advisor-client relationships
  • engineer-client relationships.

6. CLIENT RESPONSIBILITIES

Clients using the Platform agree to:

  • conduct their own due diligence before engaging professionals
  • review professional qualifications independently
  • enter into separate service agreements with professionals where necessary
  • provide accurate and truthful information.

Alxiom does not guarantee the competence, licensing status, or performance of any professional.

7. PROFESSIONAL ELIGIBILITY

Professionals participating in the network must:

  • possess relevant qualifications
  • maintain required licenses or certifications
  • comply with regulatory standards in their profession
  • adhere to professional ethics.

Alxiom reserves the right to review, suspend, or remove professionals from the Platform at its discretion.

8. PLATFORM SERVICES

Services provided through the Platform may include:

  • professional referrals
  • networking opportunities
  • marketing and visibility services
  • digital education programs
  • knowledge-sharing forums
  • professional collaboration tools.

Alxiom reserves the right to modify or discontinue Platform services at any time.

9. FEES

Alxiom charges fees including but not limited to:

  • membership fees
  • subscription fees
  • referral fees
  • marketing service fees
  • educational program fees.

All applicable fees will be disclosed prior to payment.

Professional service fees between clients and professionals are determined solely by the parties involved.

10. DISCLOSURE OF DIRECT CLIENT CONTACT

Professionals participating in the network agree to maintain transparency regarding client interactions arising from the Platform.

Where a potential client introduced through the Platform contacts a professional directly outside the Platform, the professional must disclose such contact to Alxiom.

Disclosure must occur within five (5) business days and include:

  • the identity of the potential client
  • the nature of the inquiry
  • whether services are being discussed.

Failure to disclose may result in suspension or termination from the Platform.

11. NON-CIRCUMVENTION

Where a professional and a client are introduced through the Platform, neither party shall circumvent the Platform for the purpose of avoiding platform rules or applicable fees.

For a period of twelve (12) months following the initial introduction, any engagement between the professional and client arising from the introduction shall be deemed to have originated through the Platform.

Alxiom reserves the right to recover applicable referral or service fees where circumvention occurs.

12. PLATFORM NEUTRALITY

Alxiom operates as a neutral professional networking platform.

Alxiom does not:

  • provide professional advice
  • supervise professional services
  • endorse specific professionals
  • guarantee professional outcomes.

All professional services are the sole responsibility of the professionals providing them.

13. PROFESSIONAL INSURANCE

Professionals participating in the network are responsible for maintaining appropriate insurance coverage where customary or legally required.

Examples include:

  • professional liability insurance
  • errors and omissions insurance
  • malpractice insurance.

Alxiom may request proof of insurance at any time.

14. INTERNATIONAL OPERATIONS

The Platform may connect professionals and clients across multiple jurisdictions.

Users acknowledge that:

  • professional regulations vary between jurisdictions
  • professionals must comply with laws governing their profession in jurisdictions where services are provided.

Alxiom does not guarantee that services offered through the Platform are authorized in all jurisdictions.

15. INTELLECTUAL PROPERTY

All intellectual property related to the Platform including:

  • trademarks
  • logos
  • software
  • platform design
  • content

belongs exclusively to Alxiom.

Users may not reproduce, distribute, or exploit Platform materials without written permission.

16. PLATFORM USE

Users agree not to:

  • misrepresent credentials
  • use the Platform for unlawful activities
  • harass other users
  • interfere with Platform operations.

Violation of these rules may result in suspension or termination.

17. LIMITATION OF LIABILITY

To the fullest extent permitted by law, Alxiom shall not be liable for any damages arising from:

  • use of the Platform
  • professional services provided by professionals
  • disputes between professionals and clients
  • reliance on advice obtained through the Platform.

Total liability shall not exceed the amount of fees paid to the Platform in the twelve months preceding the claim or USD $100 where no fees were paid.

18. INDEMNIFICATION

Users agree to indemnify and hold harmless Alxiom and its affiliates from any claims arising from:

  • professional services provided through the Platform
  • violation of these Terms
  • misuse of the Platform
  • breach of laws or regulations.

This indemnification includes legal costs and attorney fees.

19. DISPUTE RESOLUTION

Users agree to attempt good-faith negotiation before initiating legal proceedings.

Where disputes cannot be resolved amicably, they shall be submitted to binding arbitration under applicable arbitration laws in the jurisdiction where Alxiom is headquartered.

20. CLASS ACTION WAIVER

Users agree that any dispute shall be resolved on an individual basis only.

Users waive the right to participate in:

  • class actions
  • collective proceedings
  • representative claims.

21. TERMINATION

Alxiom may suspend or terminate access to the Platform where users:

  • violate these Terms
  • engage in misconduct
  • misuse the Platform.

Users may terminate their participation by discontinuing use of the Platform.

22. PRIVACY

Use of the Platform is also governed by the Alxiom Privacy Policy, which outlines how personal data is collected, used, and protected.

23. MODIFICATIONS

Alxiom reserves the right to update or modify these Terms at any time.

Continued use of the Platform constitutes acceptance of revised Terms.

24. GOVERNING LAW

These Terms shall be governed by and interpreted in accordance with the laws of the jurisdiction in which Alxiom is incorporated or headquartered.

ALXIOM - NO AGENT COLLECTION POLICY

Policy Title: No Third-Party Agent Collection of Funds

1. Purpose

This policy is established to protect clients, partners, and the public from fraud, misrepresentation,

and unauthorized financial transactions.

2. Policy Statement

Alxiom does not appoint, authorize, or permit any agent, consultant, intermediary,

representative, or third party to collect money on its behalf.

All payments for services must be made directly to Alxiom through officially designated company

payment channels only.

3. Important Notice to Clients and the Public

Any individual or organization claiming to collect fees on behalf of Alxiom is not

authorized to do so.

Alxiom will not be responsible for any funds paid to unauthorized persons.

Clients are strongly advised to verify payment instructions directly with Alxiom before making

any transfer.

4. Official Payment Channels

Payments are valid only when made to:

An official Alxiom corporate bank account in the company's registered name; or

Other officially communicated payment platforms issued directly by Alxiom's management

through verified company communication channels.

Alxiom will never request payment to:

Personal bank accounts

Unverified third-party accounts

Cash payments to individuals

5. Reporting Fraud or Suspicious Activity

If you are approached by anyone claiming to represent Alxiom for payment collection, please report

immediately through the company's official contact details.

6. Disclaimer

Alxiom shall not be liable for losses arising from payments made to unauthorized individuals or

entities contrary to this policy.

By engaging with Alxiom, clients acknowledge and agree to comply with this policy.
